1 SERVICES

1.1 TRANSLATION. Translation of technical or business-technical content respecting relevant international guidelines, standards and best practices. Syntax of the resulting text might change slightly compared to the original in order to make translations unequivocal. In case the source material is business critical or requires more than a general knowledge of the given field or if it qualifies as a short-term volume order specified under section 2.4, the Client delegates a subject matter expert who is available as per conditions of the contract to give advice on terminology and reading issues.

1.2 COPYWRITING. Rewriting the source material using the same language but a different style as requested by the Client. Typically used in business situations where dry technical content needs to be transformed into PR material by making it more colorful and easier to understand.

1.3 LINGUISTIC IMAGING. Translation and copywriting combined. A two-in-one service capable to speed up a market launch dramatically. Another benefit is that pre-launch information flow is restricted to exchange of information between the Client and pepperea. Due to its stylistic nature, this type of creative translation might necessitate a multi-stage schedule.

1.4 PROOFREADING. Revising texts for typos and mistakes in grammar and punctuation. Professional document analysis, correction and terminology control using approved or best-practice terminologies.

1.5 PRESS-READY TRANSLATION. For translations to be published in the press or other media it is vital to have a linguistic and professional proofreading phase. Due to our quality policy, translation of press-ready documents is offered with proofreading only.

1.6 CONSULTANCY. Translation analysis, estimates and cost reduction assistance. Training provided for Client associates on effective translation project management.

2 ORDERS AND DELIVERIES

2.1 It is the Client’s responsibility to ensure that only authorized associates give orders to pepperea. We do not verify if the person placing an order has been authorized to do so by their company.

2.2 Due to possible time zone differences between the Client and pepperea, conditions of short-term orders and deliveries must be secured in a special agreement.

2.3 The Client agrees to account for local time zones and working hours when placing short-term volume orders.

2.4 The order qualifies as a short-term volume order if its volume exceeds 300 words and the desired time of delivery is next working day in the Client’s time zone.

2.5 Except for other custom agreements, normal timeframe for processing and delivering orders is between 09:00 and 18:00, Budapest time.

2.6 By default, orders and deliveries are made electronically via email or a secure file server. In case of temporary network problems, order and delivery of urgent material may also be made by fax.

2.7 Besides the above pepperea accepts material on CD, paper, video or audio formats and material may also be sent by post or courier service.

3 WAIVER

3.1 The Client may without consequences waive the order if the service, including any preparational works, has not been commenced by the time the Client announces such waiver.

3.2 If the service has already commenced, the Client is liable for paying all fees on services that have been delivered before the Client announces the waiver.

4 QUALITY ASSURANCE

4.1 It is hard to define what the perfect translation of a given text would be since quality criteria are determined by specific communication requirements and situations. There are objective methods for measuring quality but equal emphasis is placed on the special relationship between the Client and pepperea. Clients demand quality - it is clear to see that pepperea can only satisfy this demand in close co-operation with the Client.

4.2 All processes followed by pepperea in its translation projects are in line with best practices of professional translation quality assurance models.

4.3 pepperea has obtained all official licenses on all hardware and software systems supporting translation work.

4.4 Our translator partners are proven professionals with in-depth knowledge of the trade and their chosen languages.

5 WARRANTIES AND LIABILITIES

5.1 The Client agrees that pepperea is not liable in any way for accepting orders from persons who turn out to be unauthorized to do so. The Client agrees to pay any outstanding fees even in case of such an event.

5.2 pepperea is liable for all its proofread translations up to the invoice amount of the service delivered. pepperea is not liable for any compensation exceeding the invoice amount of the service delivered for damages incurring from indirect or direct use of translations or their false interpretation.

5.3 The Client agrees that pepperea is not liable for any compensation on translations not proofread by pepperea.

5.4 As per 4.1, due to the nature of translation several results could be acceptable for a given source material. Non-receipt of confirmation of service delivery within 5 working days shall indicate the Parties’ agreement that the service is fully delivered.

5.5 In case of any dispute regarding quality of service pepperea may seek guidance from an independent third party whose verdict is accepted by the Client.

5.6 Deadline for warranty claims on texts not proofread by pepperea is the day of the settlement of the invoice.

6 PRICING POLICIES

6.1 Prices may be based on different international pricing models including:

- Source material word count (for international orders)
- 1000 words (for UK orders)
- Source material average row count (55 characters including spaces; for the German market)
- Target language character count (including spaces; for the Hungarian market)

6.2 The Client acknowledges that discounts for repeated text and other statistical discounts can only applied by pepperea when using source material word count pricing.

7 Value Added Tax (VAT)

7.1 According to Section (5)/d of Hungarian Law LXXIV of 1992, location of service delivery is the seat of the Client. If the location of service delivery is not in Hungary, the service shall not be subject to Hungarian VAT. Within the European Union extra conditions below apply.

7.2 We request our EU clients not seated in Hungary to include their EU tax number in their orders. According to relevant EU legislation 0% VAT can only be applied if the Client’s EU tax number is written on the invoice.

7.3 Non-EU Clients do not need to include their tax number on the invoice, these clients will be charged 0% VAT.

7.4 In all cases not mentioned in 7.1 - 7.3 above, the normal Hungarian VAT of 27% is charged on the contracted fee.

8 INVOICING

8.1 Invoices shall be sent after confirmation of service delivery. Non-receipt of confirmation within 5 business days shall the Parties’ agreement that the service is fully delivered.

8.2 Deadline for settlement of invoices is 15 days after receipt unless it is defined differently in the contract.

8.3 The Client takes all liability for settling their invoices and agrees that in case of late settlements, any outstanding amounts may be administered by pepperea’s partner Intrum Justitia Ltd.

8.4 Invoices shall be sent via recorded delivery. If requested, a pro-forma invoice may be sent via e-mail.

8.5 Invoices shall be paid by bank transfer. The Client shall be liable for all bank transfer costs, including fees charged by any intermediary banks.

9 SETTLEMENT OF DISPUTES, COURT JURISDICTION

9.1 Contracting parties agree to settle by negotiation any disputes regarding pepperea’s service. In case this is impossible, they may jointly request jurisdiction by a third party. Incurred costs shall be paid by the party whose opinion is favored by the jurisdiction. Results of the jurisdiction are binding for both parties.

9.2 Disputes of non-professional nature shall be submitted to the Metropolitan Court of Budapest (Fővárosi Bíróság) at the seat of pepperea. The legal relation of parties shall be governed by Hungarian law.
